Guruchats Terms of Service

Acceptance of Terms

• These Terms of Service, together with any policies, Community Guidelines, Acceptable Use Guidelines, service descriptions, subscription terms, and other legal notices expressly incorporated by reference, constitute a binding legal agreement between you and QuantumForce Inc., the owner and operator of Guruchats.
• “Guruchats,” “QuantumForce,” “we,” “us,” and “our” mean QuantumForce Inc. and, where applicable, its affiliates, licensors, contractors, service providers, successors, and assigns.
• “Services” means the Guruchats website located at www.guruchats.com, related mobile applications, communication and video tools, software, features, content, interfaces, clubs, sessions, and associated products and services.
• By accessing, browsing, downloading, installing, registering for, creating an account on, or otherwise using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service and our Privacy Policy.
• If you do not agree to these Terms of Service, you must not access or use the Services.
• If you or your organization has entered into a separate written agreement signed by an authorized representative of QuantumForce Inc. governing use of the Services, that written agreement will control to the extent of any direct conflict with these Terms of Service.

Eligibility and Authority

• You may use the Services only if you are legally capable of entering into a binding agreement under applicable law.
• By using the Services, you represent and warrant that you satisfy all eligibility requirements applicable in your jurisdiction.
• If you accept these Terms of Service on behalf of a company, nonprofit, trust, institution, or other legal entity, you represent and warrant that you have full legal authority to bind that entity, and “you” and “your” will refer to both you and that entity.
• We may refuse access to the Services to any person or entity at any time, in our sole discretion, to the extent permitted by law.

Nature of the Platform

• Guruchats is a technology platform that enables users to create profiles, create or join clubs, organize or attend sessions, communicate with one another, and access live interaction and conferencing functionality.
• Guruchats operates solely as a neutral technology platform and facilitator of user-initiated interactions.
• Guruchats does not itself provide the underlying services, teachings, sessions, consultations, training, guidance, experiences, offerings, or outcomes that may be discussed, advertised, facilitated, or delivered by users through the Services.
• Guruchats is not an employer, agent, broker, partner, principal, joint venturer, representative, fiduciary, consultant, counselor, or service provider for any user, host, participant, speaker, moderator, organizer, or third party, and no such relationship is created by use of the Services.

No Outcome Commitment; No Reliance

• The Services are offered as a communication and interaction platform only. Guruchats does not guarantee, represent, or warrant any specific result, outcome, benefit, response, experience, business result, personal result, educational result, emotional result, spiritual result, or social result arising from use of the Services.
• Any session, discussion, communication, guidance, host offering, user content, or AI-enabled feature made available through the Services is optional, user-driven, and exploratory in nature.
• You acknowledge and agree that any interpretation, reliance, decision, action, omission, conclusion, or outcome based on your use of the Services is solely at your own discretion and risk.
• Guruchats shall have no responsibility or liability for any outcome, whether positive, negative, expected, unexpected, direct, indirect, immediate, delayed, subjective, or objective.

Independent Nature of Users, Hosts, and Participants

• All users, including hosts, trainers, moderators, co-hosts, speakers, club organizers, and participants, act independently and not as employees, contractors, agents, partners, or representatives of QuantumForce Inc. or Guruchats.
• All participation on the platform is voluntary and undertaken at the sole discretion and risk of the relevant users.
• Guruchats does not verify or guarantee the identity, credentials, qualifications, background, experience, legality, safety, statements, offerings, or conduct of any user.
• Guruchats does not endorse any host, session, club, content, communication, or viewpoint made available through the Services.

No Involvement in Financial Transactions

• Unless expressly stated otherwise in a separate written agreement signed by QuantumForce Inc., Guruchats does not process, facilitate, intermediate, hold, settle, guarantee, insure, or enforce payments between users.
• Hosts may choose to offer sessions on a free or paid basis. If a host offers a paid session, any related payment or financial arrangement is conducted entirely outside the platform through third-party methods independently selected by users, including Zelle, PayPal, Google Pay, bank transfer, or similar external channels.
• Guruchats does not provide payment gateway services, escrow services, merchant-of-record services, wallet services, or collections services for such user-to-user transactions unless expressly stated in a separate written agreement.
• Guruchats does not monitor, verify, refund, guarantee, or adjudicate any payment, cancellation, chargeback, reimbursement, contribution, donation, or financial dispute between users.

No Responsibility for Sessions, Services, or Transactions

• Guruchats does not provide, supervise, control, guarantee, or assume responsibility for the quality, timing, legality, safety, suitability, truthfulness, delivery, content, credentials, representations, or outcomes of any user session, service, offering, or interaction.
• Guruchats shall not be liable for any non-payment, partial payment, delayed payment, fraudulent payment, refund dispute, chargeback, cancellation, dissatisfaction, misrepresentation, service dispute, personal injury, reputational harm, disappointment, or other loss arising from or related to any user interaction, session, service, or transaction.
• All such matters are solely between the relevant users.

Account Registration and Security

• You may be required to create an account to access certain features of the Services.
• You agree to provide true, accurate, current, and complete registration and account information and to keep such information updated.
• You are solely responsible for maintaining the confidentiality and security of your account credentials, passwords, verification codes, and devices used to access the Services.
• You are fully responsible for all activity occurring under your account, whether or not authorized by you.
• You must promptly notify us at contact@quantum-force.ai if you become aware of any unauthorized access to, or use of, your account or credentials.
• We are not liable for any loss or damage arising from your failure to protect your account credentials or comply with this Section.

No Account Sharing; Non-Transferability

• Your right to access and use the Services is personal, limited, revocable, non-exclusive, and non-transferable unless expressly approved by Guruchats in writing.
• You may not share your account, login credentials, host rights, administrative rights, or any other access rights with any other individual or entity unless expressly pre-approved by Guruchats in writing.
• You may not assign, transfer, sublicense, lease, sell, delegate, lend, or otherwise make your account or access rights available to any third party without our prior written consent.
• Any unauthorized sharing or transfer may result in suspension, restriction, or termination of your account or access privileges.

User Content

• “User Content” means all data, communications, files, documents, messages, chat logs, transcripts, whiteboards, reactions, audio, video, screen shares, attachments, poll results, metadata, prompts, responses, comments, images, names, profile information, and other materials that you or your end users upload, transmit, generate, display, provide, store, or otherwise make available through the Services.
• As between you and Guruchats, you retain whatever ownership rights you may have in your User Content, subject to the licenses granted in these Terms of Service.
• You grant Guruchats a non-exclusive, worldwide, royalty-free, fully paid-up, transferable, sublicensable license to access, host, store, reproduce, process, display, transmit, format, adapt, and otherwise use User Content solely as reasonably necessary to provide, operate, maintain, support, secure, improve, troubleshoot, analyze, and enforce the Services, to comply with applicable law, legal process, or government request, and as otherwise authorized or instructed by you.
• Guruchats does not use communications-based User Content, including audio, video, chats, screen shares, attachments, poll results, reactions, or whiteboards, to train Guruchats or third-party artificial intelligence models unless you have expressly opted into such use through a separate informed consent mechanism.

Your Responsibility for User Content

• You are solely responsible for the accuracy, quality, legality, appropriateness, ownership, and use of your User Content.
• You are solely responsible for obtaining all rights, permissions, notices, disclosures, waivers, and legally valid consents necessary to submit, share, process, display, record, transmit, or otherwise use User Content through the Services.
• You represent and warrant that your User Content, and your use of the Services, do not infringe, misappropriate, or violate any law or any right of any person or entity.
• We reserve the right, but not the obligation, to review, remove, preserve, disable, restrict, or refuse User Content where we believe, in our sole discretion, that such content may violate these Terms of Service, applicable law, or the safety, integrity, or reputation of the platform.

Service-Generated Data

• Operational metrics, technical logs, diagnostics, usage analytics, performance data, telemetry, security indicators, and other machine-generated or service-generated data arising from operation of the Services are the exclusive property of Guruchats, except to the extent prohibited by law.
• Guruchats may use such data for service administration, maintenance, analytics, fraud prevention, abuse detection, optimization, research, product improvement, legal compliance, and security purposes, consistent with applicable law and our Privacy Policy.

Responsibility for End Users

• You agree to use the Services in compliance with these Terms of Service and applicable law.
• If you permit, invite, authorize, enable, or facilitate access to the Services by any end user, guest, team member, participant, or third party through your account or authority, you remain solely responsible for such access and for the acts, omissions, communications, and content of those persons.
• Guruchats disclaims responsibility for violations of these Terms of Service by your end users or by any person whom you have directed, permitted, or enabled to access the Services.
• If you become aware of any use of the Services that may violate these Terms of Service, you must promptly notify us at contact@quantum-force.ai.

Community Standards and Prohibited Uses

• You agree to use the Services in a lawful, respectful, and responsible manner.
• You may not use the Services to engage in abusive, harassing, threatening, hateful, discriminatory, defamatory, obscene, fraudulent, misleading, or otherwise unlawful or objectionable conduct.
• You may not impersonate another person, solicit sensitive information unlawfully, distribute malware, disclose another person’s private or confidential information without authorization, or use the platform in a manner that harms others or the platform.
• You may not modify, adapt, alter, disassemble, decompile, reverse engineer, translate, benchmark, scrape, copy, imitate, or otherwise attempt to discover the source code, algorithms, or underlying structure of the Services or Software.
• You may not interfere with, disrupt, overload, damage, or impair the Services, accounts, permissions, infrastructure, or security controls.
• You may not make the Services available to third parties in any unauthorized manner.
• We reserve the right, but not the obligation, to investigate, monitor, review, remove, restrict, suspend, or terminate content or accounts that violate these Terms of Service, our policies, applicable law, or the safety or integrity of the platform.

Compliance with Laws

• You are solely responsible for ensuring that your access to and use of the Services, and that of any end users acting through you, complies with all applicable international, federal, state, provincial, and local laws, regulations, orders, and legal requirements.
• This includes your responsibility to provide required notices and obtain all necessary consents relating to personal data, recordings, audiovisual content, communications, and other regulated activity.
• You agree that you will not use the Services in any jurisdiction where such use is prohibited by law.

AI-Enhanced Features

• Guruchats may offer AI-enabled or AI-assisted features, including transcription, summarization, moderation assistance, prompts, conversational guidance, automated responses, or similar tools.
• By enabling or using such features, you authorize processing of relevant content as necessary to provide those features, subject to these Terms of Service and our Privacy Policy.
• AI-generated or AI-assisted outputs may be incomplete, inaccurate, delayed, misleading, biased, or otherwise unsuitable.
• Guruchats does not guarantee the accuracy, completeness, reliability, timeliness, or fitness of any AI-generated or AI-assisted output and shall not be liable for any reliance placed on such output.

No Professional Advice; No Emotional or Behavioral Liability

• Guruchats does not provide legal, medical, psychiatric, psychological, therapeutic, counseling, financial, tax, investment, compliance, spiritual, or other professional advice or regulated services.
• Any content, communication, interaction, session, host activity, AI output, or discussion made available through the Services is for general informational, communication, or community purposes only and must not be relied upon as a substitute for professional advice.
• You acknowledge that some content or interactions on the platform may be subjective, sensitive, emotional, or personally meaningful.
• Guruchats does not provide emotional support services and shall not be responsible for any emotional, psychological, behavioral, personal, spiritual, or relational impact arising from or related to your use of the Services or your interactions with other users.

Third-Party Services and Links

• The Services may contain links to third-party websites, applications, integrations, payment tools, plugins, content, or services.
• Guruchats does not control, endorse, verify, or assume responsibility for any third-party service, content, policy, availability, legality, accuracy, security, or practice.
• Your use of any third-party service is entirely at your own risk and subject to the terms and policies of the relevant third party.

Intellectual Property

• The Services, including all software, technology, interfaces, workflows, features, trademarks, logos, service marks, trade names, branding, text, graphics, content, compilations, functionality, designs, and related intellectual property rights, are and shall remain the exclusive property of QuantumForce Inc. and its licensors.
• Except for the limited right to access and use the Services in accordance with these Terms of Service, no right, title, or interest is granted to you by implication, estoppel, or otherwise.
• You may not use the Guruchats or QuantumForce name, trademarks, logos, branding, or other proprietary materials without our prior written permission.

Suspension and Termination

• Guruchats reserves the right, at any time and in its sole discretion, with or without notice, to investigate, suspend, restrict, disable, remove, or terminate your account, access rights, content, permissions, or use of the Services for any reason or no reason, to the extent permitted by law.
• Grounds for such action may include actual or suspected violation of these Terms of Service, applicable law, our policies, legal risk, security concerns, misuse of the platform, inactivity, or operational requirements.
• Upon termination, all rights granted to you under these Terms of Service shall immediately cease.
• Guruchats shall not be liable for any loss, inconvenience, deletion, inaccessibility, or consequences arising from suspension, restriction, or termination.

Disclaimer of Warranties

• To the maximum extent permitted by law, the services, software, content, features, and all associated functionality are provided on an “as is,” “as available,” and “with all faults” basis.
• Guruchats and quantumforce inc. disclaim all warranties, representations, conditions, and guarantees of any kind, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, quiet enjoyment, security, accuracy, reliability, availability, or results.
• Without limiting the foregoing, guruchats does not warrant that the services will be uninterrupted, error-free, secure, timely, compatible, or free of harmful components, or that any user content, session, ai output, or user interaction will be accurate, complete, lawful, suitable, or safe.

Limitation of Liability

• To the maximum extent permitted by law, guruchats, quantumforce inc., and their affiliates, officers, directors, employees, licensors, contractors, service providers, successors, and assigns shall not be liable for any indirect, incidental, special, consequential, exemplary, enhanced, or punitive damages, or for any loss of profits, revenue, goodwill, data, opportunity, use, business, reputation, or other intangible losses, arising out of or relating to your access to, use of, or inability to use the services.
• This limitation applies to claims arising from or relating to User Content, user or host conduct, sessions or interactions, third-party services, payment or transaction disputes, security incidents, AI-generated outputs, and any other matter arising from or related to the Services, even if Guruchats has been advised of the possibility of such damages.
• To the maximum extent permitted by law, the total aggregate liability of guruchats and quantumforce inc. for all claims arising out of or relating to the services or these terms of service shall not exceed one hundred united states dollars (us $100.00).
• Some jurisdictions do not allow certain limitations of liability. In such jurisdictions, the foregoing limitations apply to the fullest extent permitted by law.

Indemnification

• You agree to defend, indemnify, and hold harmless QuantumForce Inc., Guruchats, and their affiliates, officers, directors, employees, contractors, licensors, service providers, successors, and assigns from and against any and all claims, demands, actions, proceedings, investigations, damages, liabilities, losses, fines, penalties, costs, and expenses, including reasonable attorneys’ fees, arising out of or relating to your use of the Services, your User Content, your interactions with users or hosts, your violation of these Terms of Service, your violation of applicable law, your failure to obtain required permissions or consents, or any act or omission by you or by any person using your account or access rights.

Dispute Resolution; Arbitration

• If you have a dispute or concern regarding the Services, you agree to first contact Guruchats at contact@quantum-force.ai and attempt to resolve the matter informally.
• Your notice must describe the nature of the dispute, how it arose, and the relief sought.
• If the dispute is not resolved within sixty (60) days after receipt of notice, either party may pursue formal dispute resolution as set forth in this Section.
• The arbitrator shall have authority to determine the scope, enforceability, and applicability of this arbitration provision.
• The arbitration shall be conducted in English before a single arbitrator and may take place by video, telephone, written submissions, or in person where required under the applicable rules.

Class Action and Jury Trial Waiver

• To the maximum extent permitted by law, all claims must be brought solely in an individual capacity and not as a plaintiff or class member in any purported class, collective, representative, mass, or private attorney general action or proceeding.
• You and Guruchats each waive any right to a jury trial and any right to participate in a class action or class arbitration.

Opt-Out of Arbitration

• You may opt out of the arbitration provision by sending written notice to legal@quantum-force.ai within thirty (30) days after first accepting these Terms of Service.
• Your notice must include your full name, the email address associated with your account, and a clear statement that you wish to opt out of arbitration.
• If you timely opt out, the arbitration provision will not apply to you, but the remaining provisions of these Terms of Service will continue in full force and effect.

Governing Law and Venue

• These Terms of Service are governed by the laws of the State of California, without regard to conflict of laws principles.
• To the extent any dispute is determined not to be subject to arbitration, such dispute shall be brought exclusively in the state or federal courts located in California, and you consent to personal jurisdiction and venue in those courts, except where otherwise required by applicable law.

Modifications to Terms

• Guruchats may revise, amend, supplement, or update these Terms of Service from time to time to maintain compliance with law, reflect operational changes, modify service offerings, address risk, or improve clarity.
• When we make material changes, we may update the Effective Date and may provide notice by posting the updated Terms on the website, in the application, or by other reasonable means, including email where appropriate.
• Your continued use of the Services after updated Terms become effective constitutes your acceptance of the revised Terms of Service.

No Waiver

• No waiver by Guruchats of any term, condition, right, or provision of these Terms of Service shall be deemed a waiver of any other term, condition, right, or provision, nor shall any waiver be deemed a continuing waiver.
• The failure of Guruchats to assert any right or enforce any provision shall not constitute a waiver of such right or provision.

Severability

• If any provision of these Terms of Service is held to be invalid, unlawful, or unenforceable, that provision shall be enforced to the maximum extent permissible, and the remaining provisions shall remain in full force and effect.

Entire Agreement

• These Terms of Service, together with the Privacy Policy, Community Guidelines, Acceptable Use Guidelines, and other policies or legal notices expressly incorporated by reference, constitute the entire agreement between you and QuantumForce Inc. regarding your access to and use of Guruchats, unless superseded by a separate written agreement signed by an authorized representative of QuantumForce Inc.
